M&A: Unlocking Value through Spin-Offs - August 3, 2016

Transforming Enterprises: Unlocking Value through Spin-Offs

Sponsored by Bloomberg BNA and Baker & McKenzie

An investment banker and two Baker attorneys explore the recent uptick in corporate spin-off transactions. What’s driving it? How does the market view spin-offs? How have companies involved in these transactions – both parent companies and spincos – performed post-spin? How have shareholders responded? How have regulators like the IRS and the SEC responded? What alternatives exist and how do companies weigh these against a spin?

During this live webinar, the panel will cover:
• What is driving M&A activity generally and divestitures such as spin-offs in particular? What market forces are at play? What is the role of activist investors?
• Are there regulatory (tax, SEC, etc.) incentives to undertake spin-off transactions, or do those rules instead pose a hindrance to transactions the marketplace desires?
• What is the profile of a company that can benefit from a spin-off?
• Do spin-offs create value?
• What variations are being pursued and when are these appropriate?
• What are the first steps a company can take to explore whether a spin-off or other type of divestiture would create value?

Educational Objectives:
• Become conversant about the primary market forces driving spin-offs.
• Gain an overview of the legal and tax issues that affect spin-off transactions.
• Understand the different alternatives to a spin-off, and why one might be better than another in particular situations.
.

Tracking eDiscovery Custodians - August 10, 2016

The Severe Legal Ramifications of Not Tracking Employee Status Changes

Sponsored by Bloomberg BNA and Exterro

Where’s Alex Smith?  Who’s Kristin Kolasinski?  Tracking and finding eDiscovery custodians can feel like you’re playing “Where’s Waldo.”  Ensuring data isn’t lost when someone leaves a department and new employees are always appropriately added to litigation holds can be a complicated and time intensive process.  In a recent Exterro poll, 51% of legal professionals stated that they are still formulating a process for tracking employee movements to ensure data on legal hold is not accidentally deleted.

Without the right process and policies in place, organizations risk spoliation of evidence and not complying with regulatory requirements.  Join us for this webinar to learn how to implement effective workflows and protocols to track employee data.

Educational Objectives:
• Legal ramifications of deleting data because employees leave or change roles at an organization
• Workflows and protocols to prevent employee data from being deleted

Sponsored by iDiscovery Solutions

Note:  This webinar is only free to the first 30 enrollees

On May 11, 2016, President Obama signed the Defend Trade Secrets Act ("DTSA"), which Congress passed on April 27, 2016.  With President Obama's signature, the DTSA has now become the law of the land, and a federal civil remedy for trade secrets misappropriation now exists.  What does the passage of the DTSA mean for your company?

In this 90-minute, live webcast, I will be joined by attorneys Robert Milligan of Seyfarth Shaw and Tom Mackey of Jackson Lewis, as we describe the key features of the DTSA and compare its key provisions to the state Uniform Trade Secrets Act ("UTSA") adopted in many states. We will also provide practical tips and strategies concerning the pursuit and defense of trade secret cases in light of the DTSA, and provide some predictions concerning the future of trade secret litigation. You will also learn about digital forensics and how the preservation and analysis of workstations, networks, cloud storage, external devices and other data storage areas can help you in your investigation.

This program will include:
  • Brief history of the DTSA
  • What does the DTSA provide?
  • Provisions unique to the DTSA
  • The DTSA's whistleblower immunity provision
  • The DTSA's notice requirements for agreements entered into or updated as of today
